Terms of Service

1. Acceptance of Terms

By accessing or using the IpponHQ platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

IpponHQ provides cloud-based studio management software for martial arts schools, including student management, class scheduling, billing, and communication tools. The Service is provided on a subscription basis.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. Subscription and Payment

Access to the Service requires a paid subscription. Fees are billed monthly or annually as selected at signup. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are not provided for partial subscription periods. We reserve the right to modify pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Send unsolicited commercial messages (spam) through the communication features
• Collect or store personal data without appropriate consent from data subjects
• Attempt to gain unauthorized access to the Service or other accounts
• Reverse engineer, decompile, or otherwise attempt to derive the source code
• Resell or sublicense access to the Service

6. Your Data

You retain ownership of all data you input into the Service ("Customer Data"). By using the Service, you grant us a limited license to store and process Customer Data solely to provide the Service. You are responsible for ensuring you have the right to upload and use all Customer Data, including student and guardian information.

7. SMS and Email Communications

The Service includes features to send SMS and email messages to students and guardians. You agree to use these features in compliance with applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any applicable state laws. You are responsible for obtaining proper consent from recipients before sending marketing messages. We maintain SMS carrier registration (A2P 10DLC) on behalf of the platform; you agree to use the messaging features only for lawful purposes consistent with your registered messaging campaign types.

8. Privacy

Our Privacy Policy, available at ipponhq.com/privacy, is incorporated into these Terms by reference.

9. Intellectual Property

The Service, including its design, code, and content (excluding Customer Data), is owned by IpponHQ and protected by copyright and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, IpponHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will provide a data export for 30 days following termination upon request.

13. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use after the notice period constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Disputes shall be resolved in the courts of Cook County, Illinois.
